These Terms and Conditions (“Terms”) govern your use of the Rourkela Market website (https://www.rourkelamarket.com) and mobile application (collectively, the “Service”).

Rourkela Market is a digital marketplace service operated by Spicesdolly E-Commerce Private Limited (“Company”, “We”, “Us”, or “Our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

Rourkela Market is an online platform that enables vendors located in Rourkela, Odisha, India to list products and create digital storefronts for buyers in Rourkela to browse and purchase products.

  • Vendors are responsible for arranging their own delivery or in-store pickup.
  • We do not provide delivery services.
  • We do not handle payments between buyers and vendors, except where a commission arrangement has been explicitly agreed with a vendor.

The Company acts solely as a technology platform connecting buyers and vendors.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years old, or use the Service under parental/guardian supervision.
  • Reside in or operate a business in Rourkela, Odisha, India.
  • Provide accurate and complete registration information.
  • Comply with all applicable laws and these Terms.

We reserve the right to refuse service if eligibility criteria are not met.

3. User Accounts

  • An account is required to list products (vendor) or interact fully with the platform (buyer).
  • You are responsible for safeguarding your login credentials.
  • You are responsible for all activities conducted under your account.
  • You must notify us immediately of any unauthorized use.
  • We may suspend or terminate accounts that violate these Terms.

4. Vendor Responsibilities

Vendors agree to:

  • Pay applicable subscription fees as per selected pricing plans.
  • Provide accurate, complete, and lawful product listings.
  • Ensure compliance with applicable laws (including safety, labeling, and tax regulations).
  • Arrange and manage delivery or in-store pickup independently.
  • Handle customer service, refunds, returns, and complaints directly with buyers.
  • Maintain valid business registrations and fulfill tax obligations.

Vendors are solely responsible for product quality, legality, and fulfillment.

5. Buyer Responsibilities

Buyers agree to:

  • Coordinate directly with vendors regarding purchases, payment, and delivery/pickup.
  • Provide accurate contact details.
  • Inspect products upon receipt.
  • Address disputes directly with vendors.
  • Use the Service lawfully and in good faith.

6. Payment Terms

  • Vendors pay subscription fees for listing products and maintaining online shops.
  • A commission of 3–5% may apply to certain transactions where agreed.
  • The Company does not process or control payments between buyers and vendors.
  • Payment methods (e.g., cash, UPI, bank transfer) are determined by buyers and vendors.
  • Refunds and returns are handled solely by vendors in accordance with their policies and applicable Indian laws, including the Consumer Protection (E-Commerce) Rules, 2020.

We are not responsible for refund disputes.

7. Delivery and Fulfillment

  • Vendors are fully responsible for delivery or in-store pickup.
  • The Company does not provide logistics services.
  • We are not liable for delays, damages, lost items, or fulfillment disputes.

8. Intellectual Property

  • All platform content (logos, design, text, structure) is owned by the Company or its licensors.
  • Vendors grant the Company a non-exclusive, royalty-free license to use product listings for platform operation and marketing.
  • Unauthorized copying or reproduction of platform content is prohibited.

9. Prohibited Activities

Users must not:

  • Post false or illegal listings.
  • Engage in fraud or misrepresentation.
  • Violate any applicable laws.
  • Attempt to hack or disrupt the Service.
  • Post defamatory, offensive, or infringing content.

Violations may result in immediate termination.

10. Limitation of Liability

The Service is provided on an “as is” and “as available” basis.

We do not guarantee:

  • Product quality
  • Listing accuracy
  • Continuous availability of the platform

We are not liable for:

  • Buyer-vendor disputes
  • Product defects
  • Delivery failures
  • Indirect or consequential damages

Our liability is limited to the maximum extent permitted by applicable law.

11. Termination

We may suspend or terminate accounts for:

  • Violation of these Terms
  • Non-payment of subscription fees
  • Fraudulent or unlawful activities

Vendors may terminate accounts subject to clearing outstanding dues.
Buyers may terminate accounts via settings or by contacting us.

Certain obligations (fees, legal rights, liability clauses) survive termination.

12. Dispute Resolution

  • Buyer-vendor disputes must be resolved directly between the parties.
  • We may facilitate communication but are not obligated to mediate.

Disputes involving the Company:

  • Governed by the laws of India.
  • Subject to exclusive jurisdiction of courts in Rourkela, Odisha.

13. Third-Party Services

The Service may integrate third-party services (e.g., analytics tools).
We are not responsible for their policies or performance.
